1.      Introduction

1.1       About Gantted

Gantted is an online platform to offer and bid on construction projects.  Gantted is operated Vital Illusions Pty Ltd - 72 612 332 975 (we, us, our).

1.2    About these Terms of Use

(a)   These Terms of Use describe what you need to know and understand about you rights and responsibilities when you use and access the Gantted Platform.  This includes the use of our Services through the Gantted Platform and accessing our Website.

(a)   These Terms of Use are between Vital Illusions Pty Ltd - 72 612 332 975 (we, us or our) and the person named in the Account (you or yours).

(b)   By clicking 'I agree', by signing these Terms of Use, by registering an Account, and/or by accessing the Services and Gantted Platform, you agree to be bound by and abide by the terms and conditions set out in:

(i)     these Terms of Use (including any terms and conditions incorporated by reference);

(ii)    our Privacy Policy

(iii)   the Escrow Agreement;

(iv)   and any other terms we notify you of from time to time which may apply to certain Services, such as policies for a particular event, activity or promotion.

(a)   If you are entering into these Terms of Use on behalf of a company or other legal entity you represent that you have the authority to bind such entity to these Terms of Use, in which case the terms "you" or "your" will refer to such entity. If you do not have such authority or if you do not agree with these Terms of Use then you may not use the Software.

(c)   To the extent of any inconsistency, the provisions of these Terms of Use govern to the extent of the inconsistency. 

1.3    Changes to the Gantted Platform and these Terms of Use

(a)   We may make changes to these Terms of Use at any time as necessary. If:

(i)     we consider that the change is likely to benefit you or have a neutral or minor detrimental impact on you, we may make any changes immediately without notifying you except by publishing the amended terms on our Website; or

(ii)    if we consider that the change is likely to have a significant detrimental impact on you, we will tell you and you will be asked to accept the new Terms of Use.   If you are told about a new version of the Terms of Use, you will need to accept them before you will be able to access your Account or the Gantted Platform.  You must stop using the Gantted Platform if you do not agree to the new Terms of Use.  Your continued use of the Gantted Platform will deem to be your acceptance of the Terms of Use.

You accept that by doing this, we have provided sufficient notice of the variation. By continuing to use the Gantted Platform, our Website or the Services following such notification represents your agreement to be bound by these Terms of Use as amended.

2.      Your Use of the Gantted Platform

2.1    Account

(a)   You must apply to register an account to access and use the Gantted Platform and our Services (Account) by completing all details in the online account application form available on our Website.

(b)   You will be required to provide your details, including personal information (Account Details).

(c)   Your Account application must be approved by us before you can access and use the Gantted Platform and Services.  You must meet the applicable User Criteria.

(d)   We reserve our rights to accept or approve your application for an Account for any reason, including if:

(i)     you do not provide all the User Details;

(ii)    you do not meet any User Criteria; or

(iii)   you are younger than 18 years of age, or the age of legal majority in your jurisdiction (if different than 18).

2.2    Account Details

(a)   It is your responsibility to provide accurate and appropriate Account Details and to keep any passwords, tokens and account access links confidential.

(b)   You are solely responsible for all activities that occur through your Account.

(c)   We are entitled to act on instructions received under your Account, and you release us from any liability arising from any such action.

(d)   If, for any reason, you believe that your Account and/or password information has become compromised, you must contact us immediately. Dissemination or misuse of Account and/or password information constitutes grounds to revoke your access to the Gantted Platform and terminate these Terms of Use.

2.3    Licence to use the Gantted Platform

Subject to our approval under clause 2.1 and payment of all Fees, you have the right to access and use the Gantted Platform (including the Services) according to the terms of these Terms of Use.

2.4    Features of the Gantted Platform

(a)   You may use those of the Services that we have approved and enabled to you in your Account.

(b)   We may permanently or temporarily disable, change or add features of the Gantted Platform by reasonable notice to you. You acknowledge that we may need to disable Services with minimal or no notice in the event of errors with or caused by those Services.  We will endeavour to give you as much prior notice as reasonably possible in the circumstances.

2.5    Permitted use

Your use of the Gantted Platform is subject to the condition that you may make reasonable use of the Gantted Platform for the purpose of:

(a)   seeking the supply of services from builders’ architects and other tradesman for your construction projects; 

(b)   finding construction projects for you to supply your services;

(c)   managing construction project tenders; or

(d)   managing construction projects and the interaction between participants in construction projects.

2.6    Prohibited use

(a)   We may prohibit use of the Gantted Platform that we consider to be unreasonable, such as data mining, use for dangerous or unlawful activities, use that violates any applicable laws, uses that infringes the rights (including the Intellectual Property Rights) of any other person, uses that are fraudulent, inaccurate, misleading or deceptive or purposes, or use as a business development tool for purposes other than those outlined in 2.5(a).

(b)   We may suspend or terminate your Account, report you to the relevant authority or peruse any other available to us if we suspect that you have used our Services or the Gantted Platform for any purpose that is illegal, fraudulent or in breach of any law or these Terms if Use.

2.7    Managing use

(a)   You are responsible for uploading and managing all documentation and information required by law, third parties and your organisation to the Gantted Platform.

(b)   You are responsible for managing the information you share on the Gantted Platform, including the information you share with other users of the Gantted Platform.  You are responsible for utilising the Account control functions within the Gantted Platform to hide or share information with other users of the Gantted Platform.

2.8    Confidentiality of information

(a)   You acknowledge that you may only use the information in or provided through the Gantted Platform for your own information needs and to obtain the benefit of the Services.

(b)   You must not disclose, reproduce, edit, copy, modify, republish, upload, transmit or distribute in any way the information made available to you through the Gantted Platform to any other person. This includes the software code and software developed, produced or utilised by us.

(c)   You acknowledge that the Gantted Platforms allows for the sharing of information (which may be personal information or confidential), in relation to yourself, your business and (if applicable) any construction projects, including the name of the builder, the name of the architect, the names of subcontractors, their contact information, and project dates.  You acknowledge that it is your responsibility to manage how you share this information on the Gantted Platform utilising the Account control functions.

2.9    Conduct affecting the functioning of the Gantted Platform

You are prohibited from using any device, software, script or any other mechanism that may affect the proper functioning of the Gantted Platform, including:

(a)   taking actions that place unreasonable or excessive loads on our systems and servers;

(b)   taking any action that degrades the operational performance of our Services or the Gantted Platform; and

(c)   infecting our systems, servers or our Website with any programming (such as viruses, worms, time bombs, etc.) that may damage, interfere with, delay, intercept of expropriate any system, Data or personal information.

3.      Licence Term

These Terms of Use will continue for the period during which you access and use the Gantted Platform, our Website and the Service, and hold an Account with us (whichever is the longest (Term) unless terminated earlier in accordance with These Terms of Use.

Your Use of the Gantted Platform

Account

You must apply to register an account in order to access and use the Gantted Platform and our Services (Account) by completing all details in the online account application form available on our Website.

We may suspend or terminate your Account, report you to the relevant authority or pursue any other action available to us if we suspect that you have used our Services or the Gantted Platform for any purpose that is illegal, fraudulent or in breach of any law or these Terms if Use.


Managing use

You are responsible for uploading and managing all documentation and information required by law, third parties and your organisation to the Gantted Platform.

You are responsible for managing the information you share on the Gantted Platform, including the information you share with other users of the Gantted Platform. You are responsible for utilising the Account control functions within the Gantted Platform to hide or share information with other users of the Gantted Platform.


Confidentiality of information

You acknowledge that you may only use the information in or provided through the Gantted Platform for your own information needs and to obtain the benefit of the Services.

You must not disclose, reproduce, edit, copy, modify, republish, upload, transmit or distribute in any way the information made available to you through the Gantted Platform to any other person. This includes the software code and software developed, produced or utilised by us.

Intellectual property

Nothing in these Terms of Use effects the ownership of any Intellectual Property Rights or Data that existed before you accepted these Terms of Use under clause 1.2(b).

You agree that any Intellectual Property or Data created by either party by using the Gantted Platform, our Website or the Services vest with us on creation.

Copyright

Uploading any Copyright Work into the Gantted Platform will not alter the ownership of copyright in that Copyright Work.

You warrant that with respect of any Copyright Work that you upload into the Gantted Platform, distribute or share using the Gantted Platform, or amend or allow others to amend within the Gantted Platform, that you are entitled to upload, distribute, share and amend that Copyright Work, or authorise others to do so, without infringing the Intellectual Property Rights of any third party.

You grant us a licence to reproduce, distribute, archive and amend your Copyright Works pursuant to the functions of the Gantted Platform and our normal operations of the Gantted Platform (including back-ups, maintenance, testing and development), and for the purposes of indexing, summarising, compiling and searching those Copyright Works.

Trade marks

The trade marks used on our Website or the Gantted Platform are either our trade marks, or third party trade marks which we have permission to use.

Nothing in these Terms of Use grant you any right to use any trade mark displayed on our Website or the Gantted Platform without the express written permission of us or, if applicable, the third party owner of the trade mark.

You must provide us with an electronic copy of your main company logo for display in the Gantted Platform. Upon doing so you grant us a licence to use and reproduce that trade mark for the purposes of operating the Gantted Platform, providing the Services and referring to you.


Privacy

You must comply with all laws in relation to privacy including but not limited to the Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth) when using the Gantted Platform.

You agree to obtain all consents necessary to ensure that the communication with other users of the Gantted Platform complies with all applicable laws (including, without limitation, consents required under the Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth)).

We may compile statistical information related to the performance of the Services, and may make such information publicly available, provided that such information does not incorporate your Data and/or identify your confidential information or include your company's name. We retain all Intellectual Property Rights in such information.

Publicity

We may identify you as a recipient of our Services and use your name and corporate logo in sales presentations, marketing materials and press releases for this purpose.

Fees

Fees payable

The Fees payable to use the Gantted Platform and our Services are specified on our Website.

We can vary the Fees at any time by notifying you of such variation at least 30 days prior to any variation of the Fees.

If any Fee variation referred to in clause 5.1(c) results in an increase of more than 10%, you have the option to terminate these Terms of Use. We will refund you any Fee (or part thereof) paid by you in advance for Services which were not received because of the termination.


Payments

Invoicing & Withdrawals

If the builders opts for our invoicing services in place of our credit escrow system GANTTED will issue an invoice to the builder once the project is complete. Once the invoice has cleared our accounts and been reconciled the funds will be made available for withdrawal on your account.

If the builder opts to use the escrow system the funds will be made available for withdrawal on your account 7 days from completion.


Withdrawing Funds

Once the funds clear into your account you can request a bank transfer.

You can update your bank details under the account settings drop down.

Our bank Transfers are Processed at 5pm every Monday and Thursday.


Our fees

If the credit escrow system is used our fees associated with the use of the platform are below:

3% Credit processing fee

3% Administration Fee

If the invoicing system is used our fees associated with the use of the platform are below:

6% Administration Fee


Non Payment:

In the case of non payment within 60 days of invoicing Gantted will follow up the builder with a phone call to clarify the issue and seek immediate action from the builder.

If the builder continues to decline payment the project details and supporting documentation will be forwarded to the contact listed on the account for action through the relevant Authority.

By using the platform you indemnify 'Vital Illusions Pty Ltd' against any non payment from a third party arising from use, and agree to pursue any monies owed through external methods.


Administration orReceivership

If a party utilising the platform goes into receivership and payment can not be processed the details of the project and supporting documentation will be forwarded to the contact listed on the account for action through the relevant Authority.

By using the platform you indemnify 'Vital Illusions Pty Ltd' against any non payment from a third party arising from use, and agree to pursue any monies owed through external methods.

By using the platform you agree to comply with the terms and conditions of the use and understand the risk associated with our payment systems


Privacy Policy

In this Privacy Policy, 'us' 'we' or 'our' means Vital Illusions Pty Ltd. We are committed to respecting your privacy. Our Privacy Policy sets outs out how we collect, use, store and disclose your personal information.

details of the services we have provided to you or that you have enquired about, including any additional information necessary to deliver those services and respond to your enquiries;

information about how you interact with our services, your advertising preferences and your communications with us;

The Gantted website located at www.gantted.com (the “Website”), is owned, controlled and operated by Gantted Pty Ltd (ABN 35 644 386 167) (“we”, “us”, “our”, or “Gantted”).

 

The terms and conditions set out below (“Terms of Use”) apply to use of the Website by you (the “User”, “you” or “your”) when you use the Website as a Consultant. The Website is available for you to use conditional on your acceptance of these Terms of Use.

 

BY ACCESSING OR USING THE WEBSITE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE.

·           Capitalised words are defined in the Definitions Section in clause 19.1 or otherwise in the body of the Terms of Use.

·           You must be a Registered User to use the Website.

·           Consultants must pay a Consultant Fee for any Project Contracts formed with Builders/Property Developers.

·           If you are a Consumer, the Website Services come with Consumer Guarantees under the ACL.

·           If you are a Consumer, nothing in these Terms (including, without limitation, the disclaimers of liability contained in clause 12 and limitations of liability contained in clause 13) is intended to limit or exclude your Consumer Guarantees.

·           Subject to any rights which you may have as a Consumer or otherwise at law, your use and access of the Website is provided on an “as is” basis and entirely at your own risk.

·           Your ability to hold us responsible for any loss or damage that you may suffer from accessing or using the Website may be significantly restricted.  

·           You are solely responsible for compliance with all laws and regulations applicable to your use of the Website and the supply of Services under Project Contracts.

·           There are restrictions that apply to your use of the Website, and there are significant consequences if you do not comply with such restrictions.

·           You may be required to indemnify us for certain loss or damage that we may suffer from your breaching these Terms of Use.

·           If you input or upload any User Content to the Website, you provide us with a licence to use the Intellectual Property subsisting in that User Content.

1.         Application

 

1.1            These Terms of Use apply to Registered Users that are Consultants.  By visiting, viewing, browsing, accessing, creating a User Account, or otherwise using the Website, you accept and agree to comply with these Terms of Use.  Separate Terms of Use apply to Users that are not Consultants, which are available on our Website.

 

1.2            These Terms of Use comprises of this document, our Privacy Statement and such other policies that we may introduce or amend from time to time, all of which are incorporated herein by reference. We will give you reasonable notice of a new policy or changes to the Terms of Use by posting on our Website or otherwise notifying you on the Website. By continuing to access or use the Website, or continuing to maintain a User Account, after we have given notice of an introduction of a policy or variation of these Terms of Use, you agree to continue to be bound by the Terms of Use as varied.

 

1.3            You must be 18 years old to use the Website and to create a User Account. By accessing the Website and/or creating a User Account, you warrant that you have legal capacity to agree and to be bound by these Terms of Use.

 

2.         Description of Website and Website Services

 

2.1            Subject to clause 2.2 and the other terms of the Terms of Use, Gantted operates the Website. The Website connects Builders/Property Developers (“Builders/Property Developers”) seeking consultants (“Consultants”) to supply certain services, such as design, architectural or other services, (“Project Services”) and Consultants willing to supply certain Project Services to Builders/Property Developers, by providing intermediary functions and services (“Website Services”) as follows: 

 

a.        Guests can browse the Website for information about the Website Services;

b.        Registered Users can create their profiles via the Website;

c.        Where the Registered User is a Builder/Property Developer, they can make offers Consultants to supply Project Services via Project Posts or directly via the Directory, and chat with Consultants via the Website to form Project Contracts; and

d.        Where the Registered User is a Consultant, they can submit Project Proposals in relation to Project Posts via the Website, and chat with Builders/Property Developers that have posted Project Posts to form Project Contracts.  Consultants are unable to see other Consultants registered on the Website.

 

2.2            We reserve the right to introduce additional functions and services on the Website and to alter existing Website Services at any time without notice to Users.

 

2.3            All information related to the services to be performed is supplied by Users (Builder/Property Developer and Consultant).  We reserve the right to review, approve or verify any information provided by Users prior to publication on the Website.

 

2.4            You expressly agree that we have no responsibility and make no warranty as to the truth or accuracy of any aspect of any information provided by Users, including, but not limited to, the ability of Consultants to provide services or the honesty or accuracy of any information provided by Users.

 

2.5            If you are a Consumer, the Website Services come with Consumer Guarantee under the ACL. If you are a Consumer, nothing in these Terms of Use (including, without limitation, the disclaimers of liability contained in clause 12 and limitations of liability contained in clause 13) is intended to limit or exc
